These Terms of Service ("Terms") govern your use of the DevSecreta website at devsecreta.co.uk and any web development services we provide. We provide web development, web design, and related digital services. The specific scope, deliverables, timeline, and cost of any project will be agreed upon in writing before work begins. Any estimates or quotes we provide are based on the information available at the time. If the scope of a project changes significantly, we reserve the right to adjust the timeline and cost accordingly, with prior discussion.

4. Client Responsibilities

When engaging our services, you agree to: • Provide accurate and complete information about your project requirements. • Supply any content, materials, or access credentials needed for us to carry out our work in a timely manner. • Review and provide feedback on deliverables within a reasonable timeframe. • Ensure that any content you provide to us does not infringe the intellectual property rights of any third party. Delays caused by the late provision of materials or feedback may affect the project timeline.

5. Payment Terms

Payment terms will be agreed upon before any project begins and outlined in our proposal or contract. Unless otherwise agreed: • A deposit may be required before work commences. • Final payment is due upon project completion, prior to the website being made live. • All prices are quoted in GBP (£) and are exclusive of VAT unless stated otherwise. Late payments may incur reasonable interest charges and may result in the suspension of services until the outstanding balance is settled.

6. Intellectual Property

Your content: You retain ownership of all original content (text, images, logos, etc.) that you provide to us for use in your project. Our work: Upon full payment, ownership of the bespoke website code and design created specifically for your project will transfer to you. Our tools and frameworks: We retain ownership of any pre-existing code, tools, templates, or frameworks that we use as part of our development process. You are granted a perpetual, non-exclusive licence to use these as part of your delivered project. Portfolio rights: Unless otherwise agreed, we reserve the right to display the completed work in our portfolio and reference it as part of our previous projects.

7. Website Hosting and Maintenance

Unless specifically included in our proposal, hosting and ongoing maintenance are not covered as part of our standard web development services. We are happy to advise on suitable hosting providers and can offer ongoing maintenance packages as a separate arrangement.

8. Limitation of Liability

To the fullest extent permitted by law: • Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project in question. • We are not liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or business opportunities. • We are not responsible for any downtime, data loss, or security breaches caused by third-party hosting providers, plugins, or services beyond our control. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

9. Warranties and Disclaimers

We take pride in our work and will endeavour to deliver high-quality, functional websites. However: • We do not guarantee that your website will be entirely free from bugs or errors, although we will make reasonable efforts to resolve any issues reported within 30 days of project delivery. • We are not responsible for issues caused by modifications made to the website by you or a third party after delivery. • Our website and its content are provided "as is". We make no warranties, express or implied, about the accuracy, reliability, or suitability of the information on our site.

10. Cancellation and Refunds

Either party may cancel a project by providing written notice. In the event of cancellation: • You will be responsible for payment for all work completed up to the date of cancellation. • Any deposit paid is non-refundable unless no work has commenced. • We will provide you with all completed work and deliverables up to the point of cancellation.

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of any agreement between us. This does not apply to information that is already publicly available or that is required to be disclosed by law.

12. Third-Party Links and Services

Our website may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of these external sites. We encourage you to review their policies independently.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
